Written from the product, not yet reviewed by a lawyer. The contracting company is now named, and the sections describing what Opteno does, what it will never do in your accounts and how you can leave are accurate today. Four sections carry a “to be completed” badge: they are commercial and legal decisions that have not been made, and nothing has been invented in their place.

These terms govern your use of Opteno. The sections that are settled are settled; the ones that are not say exactly what is missing rather than filling the gap with something that sounds right.

1. Agreement

Opteno is operated by Ksel Technology Limited, a company incorporated in Hong Kong (company registration number 76991590, business registration number 76991590-000), whose registered address is Unit B, 3/F., Kai Wan House, 146 Tung Choi Street, Mongkok, Kowloon, Hong Kong. In these terms “Opteno”, “we” and “us” mean that company; “you” means the person or the business using the service.

Creating an Opteno account, or using one someone has invited you into, means you accept these terms. If you are using Opteno for a company, you are confirming you are authorised to accept them on its behalf.

We may change these terms. The current version is always the one on this page, and the date at the top is when it last changed. How far in advance a material change will be announced, and whether account holders will be emailed about it, is not settled — see “What is still open” at the foot of this page.

2. What the service does

Opteno reads data from the Shopify and Google Ads accounts you connect and computes per-product profitability from it: ad spend, revenue, cost of goods, refunds, ROAS, POAS, gross margin and net profit, over rolling windows and broken down by variant, country and market.

Where Opteno proposes a change to a connected account — drafting or archiving a product, excluding or including a product offer in a Performance Max asset group, publishing a product to a market, changing a price — that change is staged for your approval and applied only once you approve it. Opteno never changes a Google Ads budget or bid, and never pauses a campaign.

Availability of the Shopify and Google Ads APIs is outside our control, and some capabilities depend on the integrations being configured on the server your workspace runs on.

3. Your accounts and connections

You are responsible for the accuracy of the data in your connected accounts, and in particular for your cost-per-item values: cost of goods is the input that turns revenue into profit, and Opteno can only be as right about your margins as Shopify is.

You are responsible for keeping your Opteno credentials secure, for who you invite into your workspace and what you let them do, and for the API keys you issue.

Opteno is a tool for businesses, and there is no age check in the product. By using it you confirm that you are legally able to enter into this agreement where you live, that the Shopify store and Google Ads account you connect are ones you are entitled to connect, and that where you act for a company you have authority to bind it.

4. Accuracy of the metrics

Opteno’s figures are derived from data supplied by the providers you connect. Attribution has limits, and Opteno reports them rather than concealing them: spend that cannot be tied to a product is shown as unattributed, a period whose exchange rate is missing is shown as not computable, and a product whose cost is unknown is shown as unknown rather than as zero.

The metrics are decision support, not an accounting record. They are not a substitute for your accounts, your tax filings or your own reconciliation.

5. Acceptable use

Your use of Shopify and Google Ads through Opteno is still bound by their terms. Do not use Opteno to do through us what those terms forbid you to do directly — in particular, do not try to defeat a provider’s rate limits, whether by multiplying accounts, by scripting against our API or by any other route. Opteno paces its own calls to stay inside those limits, and a workspace that is being used to push past them may be throttled or suspended.

Competitor research reads what a storefront already publishes to the public, and nothing else: it does not sign in, does not bypass a password or a paywall, and does not read anything a shopper could not. It is deliberately slow and small — a tracked storefront can be refreshed once every five minutes, and a store can track up to twenty storefronts at a time. Do not attempt to circumvent those limits.

What you then do with what you find is yours. Copying a competitor’s product into your own store copies their words and their pictures, and whether you are entitled to use them is a question about their rights, not about our feature. Opteno does not check that for you, and does not rewrite the text for you.

Do not attempt to reach another customer’s workspace, probe the service for weaknesses without our written agreement, resell access, or use Opteno to build a competing product from data you reach through it.

6. Fees and billingTo be completed

Nothing is charged today. Billing runs against Stripe’s test mode during early access and enforcement is switched off, so no card is taken, no invoice is raised and no feature is withheld for lack of a plan. The prices Opteno is built around are published on the pricing page, and you will be told before that changes.

When a card is entered it is entered on Stripe’s own pages, not ours. Opteno holds the payment method identifier, the card brand, the last four digits and the expiry date; it never holds a card number.

Still to be decided — the fees actually charged at launch, the billing cycle, how taxes are handled, what happens to an amount already paid when a plan changes mid-period, and the refund position. None of that is settled, so none of it is stated here. It will be, before anyone is billed.

7. Third-party platforms

Opteno is not affiliated with, endorsed by, or sponsored by Shopify or Google. Your use of those platforms remains governed by their own terms. Product names and trademarks belong to their owners.

8. Warranties and liabilityTo be completed

What we can say today: Opteno is provided as it is, during early access, and we have not published an uptime commitment or a support response time. There is no service level agreement, and you should not treat one as implied.

Still to be decided — the warranty position, the limitation of liability, and the exclusions. These are the clauses a lawyer writes and a court reads, they are constrained by rights that cannot be excluded in the places our customers live, and nothing plausible-sounding has been put here in their place.

9. Suspension and termination

You can leave at any time and without asking us. Settings → Account → Your data deletes your account, and a workspace can be deleted on its own. Both take effect immediately and neither needs a support ticket. What is removed, what survives and why is set out in the privacy policy, and this section does not contradict it.

We may suspend or close an account that is being used against the acceptable use section above, that is not paid for once billing is live, or that we are required to act on by law. Where we can tell you first, we will.

Still to be decided — the notice we give before closing an account for a reason that is not urgent, and what happens to an amount already paid. Both wait on the fees section.

10. Governing lawTo be completed

Still to be decided — the governing law and the venue for disputes. The two facts that bear on it are already settled and are stated honestly elsewhere on this site: the contracting company is incorporated in Hong Kong, and the servers that hold your data are in France. Which law governs this agreement, and where a dispute would be heard, is a decision for Ksel Technology Limited on advice, and it has not been made.

Write to [email protected]. It reaches a mailbox on Opteno’s own mail server that a person reads; there is no ticketing robot in front of it.

12. What is still openTo be completed

Three sections above carry the same badge as this one, and they are the substantial gaps: fees and billing, warranties and liability, and governing law.

Two smaller decisions are open alongside them. How much notice a material change to these terms gets, and whether it is emailed as well as published. And the notice given before an account is closed for a non-urgent reason.

Everything on this page that is not marked describes the product as it is built today and was checked against the code rather than copied from a template. None of it has been reviewed by a lawyer, and none of it is legal advice.
